Please read these Terms and Conditions carefully before accessing or using the corporate website, digital inquiry channels, content or materials made available by Guardian Industries Company Limited.
1. Acceptance of Terms
By accessing, browsing or using this website or submitting information through Guardian’s digital channels, you acknowledge that you have read and understood these Terms and Conditions (“Terms”) and agree to be bound by them to the extent permitted by applicable law. If you access the website on behalf of a company, governmental entity or other organization, you represent that you are authorized to act on its behalf.
If you do not agree with these Terms, you should discontinue use of the website.
2. Company and Website
The website is operated for Guardian Industries Company Limited (“Guardian”, “Company”, “we”, “us” or “our”), headquartered in Dammam, Kingdom of Saudi Arabia. The website is intended primarily for corporate, industrial, governmental, EPC, engineering, procurement, construction, security and professional users.
3. Informational Purpose Only
Website content, including text, drawings, illustrations, images, photographs, product descriptions, dimensions, specifications, system concepts, project references, performance descriptions, standards references and other materials, is provided for general corporate, informational and marketing purposes only.
- Website content does not constitute professional engineering advice, a security risk assessment, threat assessment, site survey, certified design, structural or civil calculation, cybersecurity assessment, authority approval, technical submittal, method statement or project-specific recommendation.
- Users must not rely on website content as a substitute for project-specific engineering, contractual documentation, certified product documentation, site investigation or professional advice.
- Guardian may change, correct, update, withdraw or discontinue website content at any time without notice.
4. No Offer, Quotation or Contract Formation
Nothing on the website constitutes a binding quotation, offer, acceptance, promise, warranty, commitment or agreement by Guardian. Submission of an inquiry, RFQ, BOQ, tender, drawing, specification, registration, contact request or other material does not:
- oblige Guardian to respond, quote, tender, accept a project or enter into any transaction;
- create a contract, agency, partnership, joint venture, fiduciary relationship, exclusivity arrangement or other legal relationship;
- constitute Guardian’s acceptance of the sender’s terms, specifications, purchase conditions or proposed contractual terms; or
- create a confidentiality obligation except to the extent separately agreed in writing or imposed by applicable law.
Any binding commercial commitment must be contained in a quotation, purchase order, contract or other instrument duly accepted or executed by persons authorized to bind Guardian, subject to the terms, assumptions, exclusions, validity periods and conditions stated in that instrument.
5. Contractual Precedence and No Incorporation by Reference
For any project or transaction, the executed contract and documents expressly incorporated into that contract govern the parties’ rights and obligations. Website content does not amend, supplement, vary or supersede an executed contract.
No website statement, brochure, image, specification, project description, case study, certification reference, standards reference, product page or marketing statement shall be deemed incorporated into a quotation, purchase order, tender, subcontract or contract unless Guardian expressly incorporates that material in writing into the applicable contractual document.
6. Engineering, Site and Security Performance Disclaimer
Security-system and physical-protection performance depends on project-specific factors, including threat profile, site conditions, civil and structural conditions, environmental conditions, installation quality, interfaces, power, communications, network availability, third-party systems, operating procedures, maintenance, configuration and human factors.
Unless expressly guaranteed in an executed project-specific contract and supported by applicable certified documentation, Guardian makes no website-based representation, warranty or guarantee regarding:
- prevention of intrusion, theft, sabotage, terrorism, vehicle penetration, drone activity, cyberattack or any other threat;
- detection probability, false-alarm rate, recognition accuracy, response time, continuous availability or uninterrupted operation;
- crash, blast, ballistic, forced-entry, anti-climb, anti-drone or other resistance/performance rating;
- compatibility or interoperability with third-party systems or future software/firmware versions;
- fitness for a particular site, purpose, threat or regulatory category; or
- approval or acceptance by any customer, consultant, regulator or competent authority.
7. Standards, Certifications and Regulatory References
The website may refer to standards, directives, certifications, approvals or frameworks, including security, industrial, engineering, testing or quality standards. Such references are informational and contextual only.
A reference to HCIS/SAIS requirements, Saudi Aramco requirements, API, ASTM, IWA, PAS, UL, IEC, ISO, NFPA or any other standard, approval or framework does not represent or warrant that every Guardian product, service, design, project, configuration or installation is certified, approved or compliant with that standard. Compliance or certification must be determined from the applicable project-specific contractual and certified documentation.
8. Project Portfolio, Customer Names and Case Studies
Project names, customer or contractor names, photographs, capacities, locations, scope descriptions and case studies may be displayed to illustrate Guardian’s experience. Such references:
- do not constitute a warranty that the same scope, performance, commercial terms or result is available for another project;
- do not imply endorsement, sponsorship, partnership or recommendation of Guardian by a project owner, EPC contractor, consultant, government authority or other stakeholder unless expressly stated; and
- remain subject to applicable confidentiality, intellectual-property and contractual restrictions.
9. User Submissions and Authority to Provide Information
A user submitting information, drawings, specifications, photographs, BOQs, technical documents or other material represents that the user has lawful authority to provide the material to Guardian and that Guardian’s receipt and reasonable use of the material for the stated inquiry will not infringe third-party rights or breach confidentiality, security, export-control or other legal obligations.
Guardian is not responsible for determining ownership of unsolicited materials before receipt. Users must not submit material they are not authorized to disclose.
10. Sensitive and Critical-Infrastructure Information
Users must not use ordinary website forms or general website communication channels to transmit passwords, privileged credentials, encryption keys, classified or restricted information, detailed vulnerability data, national-security-sensitive information, or critical-infrastructure information requiring a controlled transmission method, unless Guardian has expressly authorized that method.
Guardian may restrict, isolate, delete, return, report or otherwise handle improperly submitted information where reasonably necessary to protect Guardian, its customers, projects, systems or legal obligations, subject to applicable law.
11. Intellectual Property Rights
Unless expressly stated otherwise, all website content and associated intellectual property – including original text, photographs, project imagery, drawings, graphics, logos, trademarks, trade names, technical descriptions, system concepts, page layouts, databases, software/interface elements and compilations – is owned by or licensed to Guardian and is protected by applicable intellectual-property laws.
Guardian grants users a limited, revocable, non-exclusive, non-transferable right to view publicly available website content for legitimate internal commercial evaluation. No other right or licence is granted.
12. Prohibited Use of Guardian Content
Without Guardian’s prior written consent, users must not:
- copy, reproduce, republish, distribute, sell, sublicense, modify or create derivative commercial materials from Guardian content;
- download, extract or reproduce technical drawings, system architectures, photographs or project materials for competitive or unauthorized commercial use;
- scrape, crawl, harvest or systematically extract website content or data except ordinary search-engine indexing that respects applicable technical controls;
- use Guardian content to train, fine-tune, evaluate or populate artificial-intelligence or machine-learning models or datasets for commercial or competitive purposes;
- reverse engineer website components, bypass access controls, remove watermarks or copyright/trademark notices, or frame/mirror the website;
- use Guardian trademarks, trade names, project references or content in a manner suggesting authorization, affiliation, endorsement or partnership without written permission; or
- use website content for unlawful, misleading, fraudulent, defamatory or competitive misrepresentation.
13. Restricted and Malicious Website Activity
Users must not interfere with or compromise the website or related systems. Prohibited conduct includes:
- introducing malware, malicious code, corrupted files or harmful payloads;
- unauthorized access attempts, credential attacks, vulnerability scanning, penetration testing or exploitation without Guardian’s prior written authorization;
- denial-of-service activity, excessive automated requests or interference with website availability;
- circumventing authentication, access restrictions, robots instructions or other technical controls;
- impersonating another person or organization, submitting false identities or fraudulent inquiries; and
- harvesting contact details, project information or other data for spam, fraud or unlawful purposes.
Subject to applicable law, Guardian reserves the right to monitor security events, preserve relevant logs, restrict or block access, investigate suspected misuse and report unlawful or malicious activity to competent authorities.
14. Third-Party Websites, Products and Services
The website may contain references or links to third-party websites, products, manufacturers, platforms or services. Guardian does not control third-party content and does not warrant its availability, accuracy, security, privacy practices, performance or suitability. A link or reference does not by itself constitute endorsement or acceptance of responsibility.
15. Website Availability and Cybersecurity
The website and its content are provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law. Guardian does not warrant that the website will be uninterrupted, error-free, completely secure, free from malicious components, or continuously available. Guardian may suspend, restrict, modify or discontinue any part of the website for maintenance, security, operational or other reasons.
16. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Guardian disclaims warranties, representations and conditions arising solely from website use, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and availability, except where such exclusion is prohibited by mandatory law or where a warranty is expressly provided in an executed contract.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Guardian, its directors, officers, employees, affiliates and representatives shall not be liable for indirect, incidental, special, consequential, exemplary or punitive losses arising solely from access to, use of, inability to use, or reliance on the website or its general informational content, including loss of profit, revenue, business, contract, opportunity, goodwill, anticipated savings, data or business interruption.
Guardian is not liable for decisions made solely in reliance on general website content, temporary downtime, typographical errors, outdated information, third-party links or unauthorized third-party activity, except to the extent liability cannot lawfully be excluded or limited.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory applicable law, nor does this clause alter liability expressly assumed by Guardian under an executed project-specific contract.
18. Indemnification for Website Misuse
To the extent permitted by applicable law, a user is responsible for losses, claims, liabilities, costs and reasonable expenses incurred by Guardian arising from the user’s unlawful or unauthorized misuse of the website, material breach of these Terms, malicious activity, fraudulent identity, infringement of third-party intellectual-property rights, or submission of material the user was not authorized to provide. This provision does not require indemnification to the extent a loss was caused by Guardian’s own conduct for which liability cannot lawfully be excluded.
19. Privacy and Personal Data
Processing of Personal Data through the website is governed by Guardian’s Privacy Policy and applicable Saudi data-protection law. Users should review the Privacy Policy before submitting Personal Data or project-related information.
20. Right to Refuse, Restrict or Terminate Access
Guardian may, without assuming an obligation to do so, restrict, suspend or terminate website access, block an IP address or network, reject an inquiry, or remove material where Guardian reasonably believes this is necessary for cybersecurity, legal compliance, protection of Guardian or third-party rights, prevention of abuse, or website integrity.
21. Changes to the Website and Terms
Guardian may amend these Terms at any time to reflect changes in law, regulation, technology, business practices or website functionality. Revised Terms will become effective when published on the website unless a later date is stated. Continued use after the effective date constitutes acceptance to the extent permitted by applicable law.
22. No Waiver
Failure or delay by Guardian in exercising a right or remedy under these Terms does not constitute a waiver of that right or remedy. A waiver is effective only if made expressly in writing by an authorized representative of Guardian.
23. Severability
If any provision of these Terms is held invalid, illegal or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary to make it enforceable where legally permissible, and the remaining provisions shall continue in effect.
24. Assignment
Users may not assign or transfer rights arising from these Terms without Guardian’s prior written consent. Guardian may assign or transfer its rights and obligations relating to the website as part of a corporate reorganization, merger, acquisition, transfer of business or other lawful transaction, subject to applicable law.
25. No Agency or Partnership
Nothing in these Terms or a user’s website interaction creates a partnership, joint venture, employment, fiduciary or agency relationship between the user and Guardian.
26. Entire Agreement for Website Use
These Terms, together with Guardian’s Privacy Policy and any notices expressly incorporated into them, constitute the agreement governing general use of the website. They do not replace, amend or supersede any separately executed commercial or project contract.
27. Governing Law and Jurisdiction
These Terms and disputes arising directly from general use of the website shall be governed by the laws and regulations of the Kingdom of Saudi Arabia. Subject to any mandatory jurisdiction requirements under applicable law and without altering any dispute-resolution mechanism contained in a separately executed contract, the competent courts in Dammam, Eastern Province, Kingdom of Saudi Arabia shall have exclusive jurisdiction over disputes arising directly from these Terms or website use.
28. Language
If these Terms are published in more than one language, Guardian should specify the controlling language in the published versions. Unless Guardian expressly states otherwise in the applicable bilingual publication, no translated version should be interpreted to expand Guardian’s obligations beyond the original approved text.
